Sales Terms and Conditions

1. Definitions

“Seller” refers to SK Power Solutions WLL, registered in Bahrain under CR No. 137340-1.
“Buyer” refers to the customer or entity purchasing goods from the Seller.
“Goods” means any item supplied by the Seller including equipment, machinery, parts, or accessories.

Full payment is due before delivery unless agreed.
For credit customers, payment is due as agreed.
Late payments attract 1.5% interest per month or max allowed by law.
Seller may suspend services on late payment.
Debts over 60 days may be sent to collection agencies, and costs will be charged to the Buyer.
Non-payment may result in suspension or cancellation of order.

Ownership of the Goods shall remain with the Seller until full payment is received.
The Buyer agrees not to sell, lease, or encumber the equipment until full payment is made.

The Buyer must inspect the Goods at the time of delivery.
Any discrepancies or damages must be reported in writing within 24 hours of receipt
Failure to notify shall constitute acceptance of the Goods.

The Seller provides a standard warranty as stated in the delivery note, starting from the date of delivery, covering manufacturing defects only. (Subject to manufacturer's T&C). The warranty does not cover:
- Normal wear and tear. Misuse, accident, or negligence. Use of non-genuine parts or accessories. Unauthorized modifications or repairs.
Any repair or service carried out by the Buyer or any third party during the warranty period without prior written consent from the seller will void the warranty.
To avail warranty service, the Buyer must send the machine to the sellers warehouse, unless otherwise mutually agreed in writing.
In the case of ownership transfer during the warranty period, the Buyer must notify Seller in writing. This is required for warranty transfer and to update the record with the equipment manufacturer. Failure to do so will render the warranty void.

Goods may not be returned without prior written consent from the Seller.
Approved returns may be subject to restocking fees and must be in original, unused condition with original packaging.
Customized or special-order equipment is non-returnable and non-refundable.
In case of any return, the Seller will issue a credit note against the purchase, unless otherwise agreed mutually in writing.

The Seller's liability is limited to the replacement or repair of defective Goods.
Under no circumstances shall the Seller be liable for consequential or indirect damages, including loss of profit or downtime.

This agreement shall be governed by the laws of the Kingdom of Bahrain.
Any disputes arising out of or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts of Bahrain.

The Seller shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to strikes, shortages, acts of God, government actions, or transportation delays.

These Terms and Conditions, together with the quotation or invoice, constitute the entire agreement between the parties and supersede all prior communications or agreements.
